These Terms govern your access to and use of UGC’s TikTok uploading and publishing tool (the “App”). The App is operated by Ultimate Graphics Corporation and is offered to the public for eligible users.
By accessing the App or initiating a TikTok authorization, you agree to these Terms.
1) Who may use the App
Eligibility. The App may be used by individuals and organizations with a valid TikTok account who are at least 13 years old (or the age of digital consent in your location).
Account holder responsibility. You are responsible for actions taken through your connected TikTok account.
Suspension. We may revoke or suspend access at any time to protect security, comply with law, or enforce these Terms.
2) What the App does
The App enables you to:
connect a TikTok account via OAuth;
upload short-form video files (or post from approved URLs);
set captions, privacy levels, interaction options, and required disclosures; and
publish directly to TikTok or save to drafts, with basic operational logging.
The App interacts with TikTok’s APIs. TikTok’s terms, guidelines, and policies also apply to your use of the App and to any content you publish through it. The App is an independent service and is not endorsed by or affiliated with TikTok.
3) Accounts, authorization, and security
OAuth. You sign in on TikTok’s pages. UGC receives tokens from TikTok only after you grant permission.
Your responsibilities. Keep devices and credentials secure; do not share access; use the App only for content you are authorized to publish.
Tokens. Tokens are credentials. If you suspect misuse, notify us promptly so we can revoke access and investigate.
Audit. We maintain minimal operational logs (no raw tokens) to troubleshoot uploads and verify compliance.
4) Your content and permissions
Your rights. Except for third-party materials you include, you (or your employer/brand) own your content.
License to UGC. You grant UGC a limited license to store, process, and transmit your content solely to operate the App (e.g., upload to TikTok, create drafts, and maintain logs).
Your promises. You represent and warrant that:
you have all rights and permissions to upload and publish the content;
the content complies with law and with TikTok’s terms, community guidelines, and music licensing rules;
required disclosures (e.g., promotional/paid partnership) are properly set in the App; and
identifiable people in the content have given consent where required.
Takedowns. If we receive a credible rights complaint or legal order, we may disable posting, remove files in our control, and notify affected parties. Copyright notices: legal@ultimategraphics.com.ph.
5) Acceptable use
You will not use the App to:
violate law, court orders, or third-party rights (including copyright, trademark, publicity, privacy);
post illegal, deceptive, hateful, or dangerous content;
mislabel commercial/paid content or evade required disclosures;
attempt to bypass TikTok policies, rate limits, or security;
probe, scrape, interfere with, or reverse engineer the App or its infrastructure;
share access, impersonate others, or otherwise misuse credentials.
We may monitor for abuse and enforce these rules.
6) Third-party services
TikTok and any linked services are third parties. Their terms and privacy notices govern their handling of your data and content. Ultimate Graphics Corporation is not responsible for third-party sites or services.
7) Privacy
Our Privacy Policy explains what data we collect, how we use it, and your choices. It is incorporated into these Terms.
8) Availability and changes
The App is provided on a best-effort basis and may be updated, suspended, or discontinued at any time. Features can change without prior notice to maintain security, comply with platform rules, or improve reliability. We may modify these Terms; material changes will be dated at the top. Continued use after changes means you accept the updated Terms.
9) Fees
There are no user fees at this time. If that changes, we will provide notice and updated terms.
10) Disclaimers
The App is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, UGC disclaims all warranties, express or implied, including title, non-infringement, merchantability, and fitness for a particular purpose. We do not guarantee uninterrupted service, error-free uploads, or specific audience reach or results on TikTok.
11) Limitation of liability
To the maximum extent permitted by law, Ultimate Graphics Corporation and its directors, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, goodwill, or data; or business interruption, even if advised of the possibility. Where liability cannot be excluded, it is limited to the greater of (a) the amounts you paid to UGC for the App in the 12 months before the claim (if any), or (b) PHP 10,000.
12) Indemnification
You agree to defend, indemnify, and hold harmless Ultimate Graphics Corporation from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your content; (b) your use of the App; (c) your breach of these Terms or applicable law; or (d) any misrepresentation of rights or required disclosures.
13) Term and termination
By you. You may stop using the App at any time and request token revocation.
By us. We may suspend or terminate access immediately for suspected abuse, security risk, loss of authorization, or legal/regulatory reasons.
Effect. Upon termination, we will disable tokens and remove stored media in accordance with our Privacy Policy and routine retention schedules.
14) Governing law and venue
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Muntinlupa, Philippines for any dispute arising from or relating to these Terms or the App.
15) Miscellaneous
Entire agreement. These Terms and our Privacy Policy are the entire agreement regarding the App.
Severability. If any provision is unenforceable, the remainder remains in effect.
Assignment. You may not assign rights under these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or asset transfer.
No waiver. A failure to enforce a provision is not a waiver.
